TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (the “Terms of Use” or “Agreement”) is legally binding between You (“You” or “User”) and Unify Educational Technologies Limited (“UNIFY”, “We” “Our” or “Us”) and contains important information about your rights, remedies and obligations that arise from your use of our Platform (‘’Plearnty by Unify’’) and services we provide. These Terms and Conditions of Use means the terms and conditions for the use of the Platform as may be published or otherwise provided from time to time.

By using the Platform and Services We provide, You agree to be bound by all the provisions of the product documents including the Terms and Conditions of Use, all the documents which are collectively recognised as the “Terms of Service” that govern your use and access to our Platform and Platform Services. You further acknowledge and agree that You have read and fully understood our Privacy Policy.

DEFINITIONS

Capitalised terms not defined below or above have the meanings described in this Agreement or elsewhere in the Terms of Service of the Unify Platform.

  • “Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a digital format and that appears on or forms part of this Platform or wider services by UNIFY.
  • “Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights and other intellectual property rights as may now exist or hereafter come into existence, and all applications therefore and registrations, renewals and extensions thereof, in each case, under the laws of any state, country, territory or other jurisdiction.
  • “Platform” means Plearnty by Unify, an online quiz and community platform developed by Unify Educational Technologies Limited for undergraduate students of tertiary institutions in Nigeria. It provides access to quizzes, competitions, and other related services.
  • “Service” means the range of functionalities offered on the Platform, including but not limited to participation in quizzes, competitions, community features, and access to educational resources and mentorship opportunities provided by Plearnty.
  • “User” means an undergraduate student of a tertiary institution who registers on or uses the Platform for the purpose of participating in quizzes, competitions, or other services offered by Plearnty.

1. Access And Use of The Platform

  • Be a registered student of a tertiary institution in Nigeria.
  • Be at least 18 years of age, or, if younger, provide verifiable consent from your parent or legal guardian.
  • Provide accurate, complete, and current information during the registration process, including your name, institution, department, level, and any other further details requested. You are responsible for keeping this information up to date.
  • By creating a Profile and using the Platform you confirm that you meet the eligibility requirements. Unify reserves the right to verify eligibility and disqualify any User who does not meet these criteria.

Your Responsibility

Note that it is your responsibility to:

  • Check and ensure that all information, material or data You provide on the Platform is correct, complete, accurate and not misleading and that you disclose all relevant facts.
  • Ensure that any username, password and/or other identification information You create is kept confidential by You and is not disclosed or shared with anyone. Where You do disclose any of these details, You are solely responsible for all activities undertaken on Our Platform where they are used.
  • Choose a strong password to access your personal information on Our Platform. Your password can only be reset with access to the email address registered in our system.
  • Report any unauthorised access, suspicious activity, or security breach concerning your Profile immediately to Unify.

PARTICIPATION IN QUIZZES AND COMPETITIONS

The Platform offers daily quizzes and inter-school competitions in which tertiary students can participate to win prizes. Participation is governed by the following rules:

  • You must comply with the instructions and rules specific to each quiz or competition, which will be made available on the Platform.
  • You are prohibited from using unauthorised methods to gain an advantage or manipulate quiz outcomes. Such conduct may result in immediate disqualification and suspension from the Platform.
  • The Platform reserves the right to modify quiz or competition rules, suspend quizzes, or disqualify Users at its discretion.
  • Unify reserves the right to disqualify any User suspected of violating the rules outlined in these Terms and Conditions or any specific rules related to a quiz or competition.
  • In case of any disputes related to quiz results, Platform's decision will be final and binding.

4. PRIZES TO BE WON

4.1. Winners of Quizzes and competitions will be offered various prizes, including cash rewards and mentorship opportunities. The specific terms, eligibility criteria, and methods of prize distribution will be outlined for each quiz or competition.

4.2. Rewards will be offered to Users of the Platform who are frequent participants.

4.3. All prizes are non-transferable and cannot be exchanged for alternative rewards unless explicitly stated.

4.4. The Platform reserves the right to request identification or other documentation to verify the identity and eligibility of prize winners before distributing any prizes to Users who emerge as winners.

4.5.Winners are responsible for any taxes, fees, or additional charges related to the acceptance or use of their prizes. By accepting a prize, you acknowledge that Unify is not liable for such costs.

4.6. The Platform reserves the right to withhold prizes if any fraudulent activity or breach of these Terms is discovered.

5. USE OF INFORMATION

5.1 By participating in Plearnty quizzes and competitions, you consent to Unify's non-exclusive right to collect and use your information, including your name, picture, department, level, and institution for promotional purposes. Specifically, if you are a quiz or competition winner, Unify reserves the right to publish your name and other relevant details across its Platform, social media channels, and other marketing materials.

5.2 You acknowledge that this use of personal information is essential for promoting the Platform and does not constitute a violation of privacy.

5.3 In addition to winner-related data, Unify may share aggregate, non-identifiable data about Users, such as the number of Users from an institution or overall quiz scores, for statistical or marketing purposes. This aggregate data will not include personally identifiable information unless you have provided specific consent.

6. DISCOUNT ON VERTICUL COURSES

6.1 Users are eligible to receive discounts for courses offered by Verticul (formerly Certifications by Unify).

6.2 Discounts will be provided through unique codes or promotions made available to Users based on their performance in specific quizzes or competitions.

6.3 Each discount may be subject to terms and conditions specific to the course or promotion and may have an expiration date. Unify reserves the right to modify or terminate these discounts at any time.

7. FUTURE FEATURES ON THE PLATFORM

7.1 Unify is committed to evolving its Platform and introducing new features, including but not limited to mentorship programs and internships designed to enhance students' learning experiences and career prospects.

7.2 By using the Platform, you acknowledge that future features may be introduced, and additional terms and conditions related to mentorship, internships, and job opportunities may apply. These will be updated accordingly, and your continued use of the Platform signifies your acceptance of such updates.

7.3 The availability of mentorships, internships, and other opportunities will be subject to eligibility criteria, as determined by Unify or relevant third-party partners.

8. COOKIES

We employ the use of cookies. By using the website, you consent to the use of cookies in accordance with our privacy policy. Most of the modern-day interactive websites use cookies to enable us to retrieve user details for each visit. Cookies are used in some areas of our site to enable the functionality of this area and ease of use for those people visiting. Some of our affiliate/advertising partners may also use cookies. 9. INTELLECTUAL PROPERTY

9.1 All intellectual property rights associated with the Platform, including but not limited to trademarks, logos, and contents, are owned by Unify or its licensors.

9.2 You are granted a limited, non-exclusive, non-transferable right to access and use the Platform for personal, non-commercial purposes in accordance with these Terms. Any unauthorised use of the Platform, including copying, reproducing, distributing, or modifying content, is strictly prohibited without prior written consent from Unify.

9.3 All text, formatting, including without limitation the arrangement of materials on the company’s Platform(s) and the graphics, animation, tools, commercials, music, video, articles, sound, copy, trade names, logos and other materials and information, are subject to the intellectual property rights of the Company and its affiliates and their licensors and licensees.

9.4 This content may not be copied, reverse engineered, decompiled, disassembled, modified or reposted on other websites. Any misuse of the Platform's intellectual property may result in termination of your Profile and We reserve the right to pursue legal action for such violations.

10. CONFIDENTIALITY AND PRIVACY

We are committed to protecting your privacy and complying with all relevant data protection laws in Nigeria. Personal information collected during registration or quiz participation will be used for the purposes of operating the Platform and administering quizzes and competitions. The Platform may share aggregate, anonymised data for promotional purposes, but your personal information will not be shared with third parties without your consent, except as required by law. Please refer to our Privacy Notice for more information about our data collection and use practices.

11. DISCLAIMERS AND LIMITATIONS OF LIABILITY

THE SERVICE IS PROVIDED "AS IS" AND WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE. WE DISCLAIM ANY AND ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, INCLUDING LOSS OF DATA OR FAILURE TO WIN PRIZES WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. INDEMNIFICATION

12.1 You agree to indemnify, defend, and hold harmless Unify Educational Technologies Limited, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your breach of this Agreement, or your violation of any law or third-party right.

12.2 By participating in quizzes and competitions, you assume all risks associated with such participation. Unify's liability for any direct claims is limited to the amount of any prize or reward associated with the specific quiz or competition.

13. UPDATING THE TERMS AND CONDITIONS

We may update these Terms and Conditions at any time. We will let You know what these changes are by posting them to this page, but it is your responsibility as a User to make sure You are aware of them by checking for any changes on a regular basis. Changes will become effective as soon as they are posted. If You continue to use Our Platform after the posting of changes to these Terms and Conditions, your use of the Platform indicates your agreement to be bound to the new Terms and Conditions.

14. LINKS

14.1 Our Platform might include details on, or links through to, information provided by other websites. We don’t control the accuracy or completeness of that information and cannot accept any responsibility for the content of those websites. You take full responsibility for using that information and verifying it and for any decision to use, purchase, or refrain from purchasing any of the services or products mentioned on a linked site. If You do purchase products or services from another website, please read its contract carefully before deciding to transact. Remember: your contract for those products or services will be with that website or company, not Us.

14.2 When You use other websites, any personal information You give them will be dealt with in line with their privacy notice, not Ours, so please read the privacy notices of each and every such website before using them.

15. RESTRICTED ACTIVITIES

With respect to Your use of the Platform and your participation in the Services, You agree that You will not:

  • 15.1 Impersonate any person or entity;
  • 15.2 Violate any law, statute, rule, permit, ordinance or regulation.
  • 15.3 Interfere with or disrupt the Services or the Platform or the servers or networks connected to the Platform;
  • 15.4 Post information or interact on the Platform or Services in a manner which is false, inaccurate, misleading (directly or by omission or failure to update information), defamatory, libellous, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, or illegal;
  • 15.5 Use the Platform in any way that infringes any third party’s rights, including but not limited to: intellectual property rights, copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  • 15.6 Post email or otherwise transmit any malicious code, files or programs designed to interrupt, damage, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or surreptitiously intercept or expropriate any system, data or personal information;
  • 15.7 Forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Platform.
  • 15.8 “Frame” or “mirror” any part of the Platform, without our prior written authorization or use meta tags or code or other devices containing any reference to Us in order to direct any person to any other web site for any purpose; or
  • 15.9 Modify, adapt, translate, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Platform or any software used on or for the Platform;
  • 15.10 Rent, lease, lend, sell, redistribute, license or sublicense the Platform or access to any portion of the Platform;
  • 15.11 Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, scrape, “data mine”, or in any way reproduce or circumvent the navigational structure or presentation of the Platform or its contents;
  • 15.12 Transfer or sell Your User account, password and/or identification to any other party;
  • 15.13 Discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation; or
  • 15.14 Cause any third party to engage in the restricted activities above.

16. TERMINATION

16.1 You and UNIFY both have the right to terminate this Agreement, but certain rights and obligations will survive after this Agreement terminates. Where You violate these Terms and Conditions of Use, We reserve the right to terminate or restrict access without notice and at Our sole discretion.

16.2 Unless both You and UNIFY expressly agree otherwise in writing, We may terminate this Agreement in Our sole discretion at any time without explanation, upon written notice to You, which will result in termination of the other Terms of Service as well, except as otherwise provided in this Agreement. You may provide written notice to plearntybyunify@gmail.com.

16.3 Upon the proper termination of this Agreement, your right to use and access to the Services shall be automatically revoked, and your Profile shall be closed.

16.4 Without limiting your other rights or remedies, We may revoke or limit access to the Services, deny your registration, or revoke your access to the Platform and refuse to provide any or all of our Services to You if: (i) You breach any terms and conditions of this Agreement; (ii) We have reasonable grounds to believe that You have provided false or misleading information to Us; (iii) We conclude that your actions may cause legal liability for You or others; may be contrary to the interests of the Platform, or the Community; or involve illicit or illegal activity; or (iv) We are required by law, legal process, or law enforcement. If your Profile is temporarily or permanently closed, You may not use the Platform under the same Profile without Our prior written consent.

16.5 You agree that Unify shall have no liability arising from or relating to any notice that it may or may not provide to the User regarding closed Profile status or the reason(s) for the closure.

17. SURVIVAL

After this Agreement terminates, the terms of this Agreement and the other Terms of Service that expressly or by their nature contemplate performance after this Agreement terminates or expires will survive and continue in full force and effect. Examples of such terms include provisions related to Dispute Resolution, Intellectual Property Rights Protection, Indemnification, Limitation of Liability, which contemplate continuous performance or observance, regardless of the termination of this Agreement. The termination of this Agreement for any reason will not release You or Us from any obligations imposed prior to such termination.

18. DISPUTE RESOLUTION

18.1 You agree to formally inform UNIFY of any claim regarding a dispute by sending an email to plearntybyunify@gmail.com

18.2 Each notice shall include the details of the complaint and contact information of the Party(ies) making the submission.

18.3 In the event of any dispute between You and UNIFY and our partners and related parties, the parties shall attempt to resolve such dispute by amicable resolution.

18.4 Both You and UNIFY shall within sixty (60) days from the receipt of the notice attempt to informally resolve the claim contained in the notice.

18.5 Subject to Clause 18.3, any dispute which cannot be resolved amicably shall be referred to and resolved by mediation in accordance with the laws of the Federal Republic of Nigeria or any other relevant law applicable to the subject matter of the dispute.

18.6 The venue of mediation shall be Nigeria or any other relevant or applicable venue, under the circumstances.

19. FORCE MAJEURE

19.1 The occurrence of an event beyond the reasonable control of the Parties, the Parties shall not be responsible for any delay or failure to perform any obligation under this Agreement for a reasonable period.

19.2 Further to Clause 19.1, the events which shall be deemed to be beyond the reasonable control of the parties shall include industrial actions, accidents, fires, floods, pandemics, telecommunications or Internet failures, strikes, wars, riots, rebellions, acts of terrorism, blockades, acts of government, requirements, regulations, or restrictions imposed by law and related events.

20. ENTIRE AGREEMENT

20.1 The Terms and Conditions of Use, together with the other Terms of Service, constitutes the only agreements between You and Us regarding the Service we provide to You and supersedes all prior agreements for the provisions of the Services.

20.2 The provisions of the Terms and Conditions of Use are a binding legal agreement and enforceable by or against Users.

20.3 Users are required to ensure their compliance with the Platform’s policies, conform with and do not contradict the applicable laws in their jurisdictions. It is each User’s responsibility to adhere to those rules and laws in their country of residence and/or countries from which the Platform and Services are accessed.

21. BREACH AND WAIVERS

Our failure to act with respect to a breach by You or others shall not constitute a waiver of the right to act with respect to such or subsequent or similar breaches.

22. GOVERNING LAW

These Terms and Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or relating to these Terms, or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Nigeria.

23.SEVERABILITY

Subject to provisions to the contrary, each provision of this Agreement is independent. If any provision of this Agreement is determined to be invalid or unenforceable under applicable law or further to the decision of a judicial body, the unaffected provisions of this Agreement shall remain valid and enforceable.
